Common use of Representations of Executive Clause in Contracts

Representations of Executive. Executive represents and warrants to the Company that: (a) Executive’s acceptance of employment with the Company and the performance of his duties hereunder will not conflict with or result in a violation of, a breach of, or a default under any contract, agreement, or understanding to which he is a party or is otherwise bound; and (b) Executive’s acceptance of employment with the Company and the performance of his duties hereunder will not violate any non-solicitation, non-competition, or other similar covenant or agreement of a prior employer.

Representations of Executive. Executive represents and warrants to the Company that: (a) that Executive’s acceptance of employment with the Company and the performance of his Executive’s duties hereunder will not conflict with or result in a violation of, a breach of, or a default under any contract, agreement, or understanding to which he Executive is a party or is otherwise bound; and (b) . Executive’s acceptance of employment with the Company and the performance of his Executive’s duties hereunder will not violate any non-solicitation, non-competition, or other similar covenant or agreement of a prior employeremployer or third-party.

Representations of Executive. Executive represents and warrants to the Company that: (a) that Executive’s acceptance of employment with the Company and the performance of his duties hereunder will not not: (i) conflict with or result in a breach or violation of, a breach of, or a default under under, any contract, agreement, agreement or understanding to which he Executive is a party or by which Executive is otherwise bound; and or (bii) Executive’s acceptance of employment with the Company and the performance of his duties hereunder will not violate any confidentiality, non-disclosure, non-solicitation, non-competition, or other similar covenant or agreement of a prior employer.

Representations of Executive. Executive represents and warrants to the Company Corporation that: : (a) Executive’s acceptance of employment with the Company Corporation and the performance of his duties hereunder will not conflict with or result in a violation of, a breach of, or a default under any contract, agreement, agreement or understanding to which he Executive is a party or is otherwise bound; and and (b) Executive’s acceptance of employment with the Company Corporation and the performance of his duties hereunder will not violate any non-solicitation, non-competition, or other similar covenant or agreement of a prior employer.

Representations of Executive. Executive represents and warrants to the Company that: (a) that Executive’s acceptance of employment with the Company and the performance of his Executive’s duties hereunder will not conflict with or result in a violation of, a breach of, or a default under any contract, agreement, or understanding to which he Executive is a party or is otherwise bound; and (b) . Executive further represents and warrants to Company that Executive’s acceptance of employment with the Company and the performance of his Executive’s duties hereunder will not violate any non-solicitation, non-competition, or other similar covenant or agreement of a prior employeremployer or third party.

Representations of Executive. Executive represents and warrants to the Company Bank that: : (a) Executive’s acceptance of employment with the Company Bank and the performance of his duties hereunder will not conflict with or result in a violation of, a breach of, or a default under any contract, agreement, or understanding to which he Executive is a party or is otherwise bound; and and (b) Executive’s acceptance of employment with the Company Bank and the performance of his duties hereunder will not violate any non-solicitation, non-competition, or other similar covenant or agreement of a prior employer.

Representations of Executive. Executive represents and warrants to the Company that: (a) Executive’s acceptance of employment with the Company and the performance of his duties hereunder will not conflict with or result in a violation of, a breach of, or a default under any contract, agreement, or understanding to which he is a party or is otherwise bound; and (b) Executive’s acceptance of employment with the Company and the performance of his duties hereunder will not violate any non-solicitation, non-non- competition, or other similar covenant or agreement of a prior employer.

Representations of Executive. Executive represents and warrants to the Company that: (a) 27.1 Executive’s acceptance of employment with the Company and the performance of his duties hereunder will not conflict with or result in a violation of, a breach of, or a default under any contract, agreement, or understanding to which he is a party or is otherwise bound; and. (b) 27.2 Executive’s acceptance of employment with the Company and the performance of his duties hereunder will not violate any non-solicitation, non-competition, or other similar covenant or agreement of a prior employer.

Representations of Executive. Executive represents and warrants to the Company that: that (a) Executive’s acceptance of employment with the Company and the performance of his duties hereunder does not (and will not not) conflict with or result in a violation of, of a breach of, or a default under any contract, agreement, agreement or understanding to which he is a party or is otherwise bound; and bound and (b) Executive’s acceptance of employment with the Company and the performance of his duties hereunder does not (and will not not) violate any non-solicitation, non-competition, competition or other similar covenant or agreement of a prior employer.

Representations of Executive. Executive represents and warrants to the Company that: : (ai) Executive’s 's acceptance of employment with the Company and the performance of his duties hereunder will not conflict with or result in a violation of, a breach of, or a default under any contract, agreement, or understanding to which he is a party or is otherwise bound; and and (bii) Executive’s 's acceptance of employment with the Company and the performance of his duties hereunder will not violate any non-solicitation, non-competition, or other similar covenant or agreement of a prior employer.
