Common use of Representations of Executive Clause in Contracts

Representations of Executive. The Executive represents to the Company that (i) there are no restrictions, agreements or understandings whatsoever to which the Executive is a party that would prevent, or make unlawful, his execution of this Agreement and his employment hereunder; (ii) his execution of this Agreement and his employment hereunder shall not constitute a breach of any contract, agreement or understanding, oral or written, to which he is a party, or by which he is bound, and (iii) he is of full capacity and free and able to execute this Agreement and to enter into employment with the Company.

Representations of Executive. The Executive hereby represents and warrants to the Company that (ia) there are no restrictionsthis Agreement is the valid, agreements legal and binding obligation of Executive, and (b) this Agreement does not, and the Executive’s performance of his duties hereunder will not, violate any provision of any agreement, indenture or understandings whatsoever other instrument, or any fiduciary or other obligation, to which the Executive is a party that would prevent, or make unlawful, his execution of this Agreement and his employment hereunder; (ii) his execution of this Agreement and his employment hereunder shall not constitute a breach of any contract, agreement or understanding, oral or written, to which he is a party, or by which he it is bound, and (iii) he is of full capacity and free and able to execute this Agreement and to enter into employment with the Company.

Representations of Executive. The Executive represents to the Company that that: (ia) there are no restrictions, agreements or understandings whatsoever to which the Executive is a party that would prevent, or make unlawful, his execution of this Agreement and his employment hereunder; (iib) his execution of this Agreement and his employment hereunder shall not constitute a breach of any contract, agreement or understanding, oral or written, to which he is a party, or by which he is bound, ; and (iiic) he is of full capacity and capacity, free and able to execute this Agreement and to enter into employment this Agreement with the Company.

Representations of Executive. Representations of Executive. The Executive represents and warrants to the Company that (i) there are no restrictions, agreements or understandings whatsoever to which the Executive is not a party to or bound by any agreement, understanding or restriction that would prevent, or make unlawful, his may be breached by Executive's execution and full performance of this Agreement. Executive expressly undertakes and agrees that he will do nothing in furtherance of this Agreement or his duties hereunder that will violate any obligations he may have to any prior employer (or that will impose on Company any liability to any prior employer) and that he will comply with all requirements of notice applicable to the termination of any prior employment before he commences his employment hereunder; (ii) his execution of under this Agreement and his employment hereunder shall not constitute a breach of any contract, agreement or understanding, oral or written, to which he is a party, or by which he is bound, and (iii) he is of full capacity and free and able to execute this Agreement and to enter into employment with the CompanyAgreement.

Representations of Executive. Representations of Executive. The Executive represents to and warrants that: (a) his employment by the Company that will not (i) there are no restrictionsviolate any non-disclosure agreements, covenants against competition, or other restrictive covenants or agreements made by the Executive with, to or understandings whatsoever for the benefit of any previous employer or partner, or (ii) violate or constitute a breach or default under, any statute, law, judgment, order, decree, writ, injunction, deed, instrument, contract, lease, license or permit to which the Executive is a party that would prevent, or make unlawful, his execution of this Agreement and his employment hereunder; (ii) his execution of this Agreement and his employment hereunder shall not constitute a breach of any contract, agreement or understanding, oral or written, to which he is a party, or by which he the Executive is bound, and (iii) he is of full capacity and free and able to execute this Agreement and to enter into employment with the Company.;
