Common use of REPRESENTATIONS OF SELLER AND ADMINISTRATOR Clause in Contracts

REPRESENTATIONS OF SELLER AND ADMINISTRATOR. Key Bank USA, National Association, as Seller and Administrator, makes the following representations on which the Issuer is deemed to have relied in acquiring the Financed Student Loans. The representations speak as of the execution and delivery of this Agreement and the Administration Agreement and as of the Closing Date, in the case of the Initial Financed Student Loans, and as of the applicable Transfer Date, in the case of the Additional Student Loans, and shall survive the sale of the Financed Student Loans to the Eligible Lender Trustee on behalf of the Issuer and the pledge thereof to the Indenture Trustee pursuant to the Indenture. As used below, references to Key Bank USA, National Association shall mean Key Bank USA, National Association in its capacity as both the Seller and the Administrator.
