Common use of Representations of Senior Agent Clause in Contracts

Representations of Senior Agent. The Senior Agent represents and warrants that: (a) neither the execution nor delivery of this Agreement nor fulfillment of or compliance with the terms and provisions hereof will conflict with, or result in a breach of the terms, conditions or provisions of, or constitute a default under, any agreement or instrument to which it is now subject to; (b) it has all requisite authority to execute, deliver and perform its obligations under this Agreement; and (c) this Agreement constitutes its legal, valid, and binding obligation in accordance to its terms, subject to applicable bankruptcy, insolvency or similar laws and general principles of equity.
