Common use of Representations of the Distributor Clause in Contracts

Representations of the Distributor. The Distributor represents, warrants and covenants as follows: 12.1 It is a corporation duly organized and validly existing under the laws of Delaware with full power to conduct its affairs as currently conducted and contemplated hereunder. All necessary action has been taken to enable it to execute and deliver this Agreement and perform its obligations hereunder.
