Common use of Representations of the Executive Clause in Contracts

Representations of the Executive. The Executive represents and warrants to the Corporation that his execution and delivery of this Agreement, his performance of the Services hereunder and the observance of his other obligations contemplated hereby will not (i) violate any provisions of or require the consent or approval of any party to any agreement, letter of intent or other document to which he is a party or (ii) violate or conflict with any arbitration award, judgment or decree or other restriction of any kind to or by which he is subject or bound.

Representations of the Executive. The Executive represents and warrants to the Corporation Company that his execution he has the legal right to enter into this Agreement and delivery of this Agreement, his performance to perform all of the Services obligations on his part to be performed hereunder in accordance with its terms and the observance of his other obligations contemplated hereby will that he is not (i) violate any provisions of or require the consent or approval of any a party to any agreementagreement or understanding, letter written or oral, which prevents him from entering into this Agreement or performing all of intent or other document to which he is a party or (ii) violate or conflict with any arbitration award, judgment or decree or other restriction of any kind to or by which he is subject or boundhis obligations hereunder.

Representations of the Executive. The Executive represents and warrants to the Corporation that his execution and delivery of this Agreement, his performance of the Services hereunder and the observance of his other obligations obligation contemplated hereby will not (i) violate any provisions of or require the consent or approval of any party to any agreement, letter of intent or other document to which he is a party or (iiII) violate or conflict with any arbitration award, judgment or decree or other restriction of any kind to or by which he is subject or bound.

The Executive represents and warrants to the Corporation Company that his execution he has the legal right to enter into this Agreement and delivery of this Agreement, his performance to perform all of the Services obligations on his part to be performed hereunder in accordance with its terms and the observance of his other obligations contemplated hereby will that he is not (i) violate any provisions of or require the consent or approval of any a party to any agreementagreement or understanding, letter written or oral, which prevents him from entering into this Agreement or performing all of intent or other document to which he is his obligations hereunder. Notwithstanding a party or (ii) violate or conflict with any arbitration awardtermination by the Company under this Section 15.l, judgment or decree or other restriction of any kind to or by which he is subject or boundthe Executive's obligations under Section 13 shall survive such termination.

The Executive represents and warrants to the Corporation Company that (a) the information that he provided to the Company in connection with his execution application for employment with the Company is true and delivery of correct in all material respects, (b) he has the legal right to enter into this Agreement, his performance Agreement and to perform all of the Services obligations on his part to be performed hereunder in accordance with its terms and the observance of his other obligations contemplated hereby will that (c) he is not (i) violate any provisions of or require the consent or approval of any a party to any agreementagreement or understanding, letter written or oral, which prevents him from entering into this Agreement or performing all of intent or other document to which he is a party or (ii) violate or conflict with any arbitration award, judgment or decree or other restriction of any kind to or by which he is subject or boundhis obligations hereunder.
