Common use of Representations of the Executive Clause in Contracts

Representations of the Executive. The Executive represents and warrants to the Corporation that his execution and delivery of this Agreement, his performance of the Services hereunder and the observance of his other obligations contemplated hereby will not (i) violate any provisions of or require the consent or approval of any party to any agreement, letter of intent or other document to which he is a party or (ii) violate or conflict with any arbitration award, judgment or decree or other restriction of any kind to or by which he is subject or bound.

Representations of the Executive. The Executive represents and warrants to the Corporation Company that his execution he has the legal right to enter into this Agreement and delivery of this Agreement, his performance to perform all of the Services obligations on his part to be performed hereunder in accordance with its terms and the observance of his other obligations contemplated hereby will that he is not (i) violate any provisions of or require the consent or approval of any a party to any agreementagreement or understanding, letter written or oral, which prevents him from entering into this Agreement or performing all of intent or other document to which he is a party or (ii) violate or conflict with any arbitration award, judgment or decree or other restriction of any kind to or by which he is subject or boundhis obligations hereunder.

The Executive represents and warrants to the Corporation that his execution and delivery of this Agreement, his performance of the Services hereunder and the observance of his other obligations obligation contemplated hereby will not (i) violate any provisions of or require the consent or approval of any party to any agreement, letter of intent or other document to which he is a party or (iiII) violate or conflict with any arbitration award, judgment or decree or other restriction of any kind to or by which he is subject or bound.

The Executive represents and warrants to the Corporation Company that his execution and delivery of this Agreement, his performance of the Services hereunder and the observance of his other obligations contemplated hereby will not (i) violate any provisions the Executive has the legal right to enter into this Agreement and to perform all of or require the consent or approval of any obligations on the Executive’s part to be performed hereunder in accordance with its terms, and (ii) the Executive is not a party to any agreementagreement or understanding, letter written or oral, and is not subject to any restriction, which, in either case, could prevent the Executive from entering into this Agreement or performing all of intent or other document to which he is a party or (ii) violate or conflict with any arbitration award, judgment or decree or other restriction of any kind to or by which he is subject or boundthe Executive’s duties and obligations hereunder.
