Common use of Representations of the Executive Clause in Contracts

Representations of the Executive. The Executive represents and warrants to the Company that he has the legal right to enter into this Agreement and to perform all of the obligations on his part to be performed hereunder in accordance with its terms and that he is not a party to any agreement or understanding, written or oral, which prevents him from entering into this Agreement or performing all of his obligations hereunder.

Representations of the Executive. The Executive represents and warrants to the Company Corporation that he has the legal right to enter into his execution and delivery of this Agreement and to perform all Agreement, his performance of the obligations on Services hereunder and the observance of his part to be performed hereunder in accordance with its terms and that he is other obligation contemplated hereby will not a (i) violate any provisions of or require the consent or approval of any party to any agreement agreement, letter of intent or understandingother document to which he is a party or (II) violate or conflict with any arbitration award, written judgment or oral, decree or other restriction of any kind to or by which prevents him from entering into this Agreement he is subject or performing all of his obligations hereunderbound.

Representations of the Executive. The Executive represents and warrants to the Company that he (i) the Executive has the legal right to enter into this Agreement and to perform all of the obligations on his the Executive’s part to be performed hereunder in accordance with its terms terms, and that he (ii) the Executive is not a party to any agreement or understanding, written or oral, which prevents him and is not subject to any restriction, which, in either case, could prevent the Executive from entering into this Agreement or performing all of his the Executive’s duties and obligations hereunder.

Representations of the Executive. The Executive represents and warrants to the Company Corporation that he has the legal right to enter into his execution and delivery of this Agreement and to perform all Agreement, his performance of the Services hereunder and the observance of his other obligations on his part to be performed hereunder in accordance with its terms and that he is contemplated hereby will not a (i) violate any provisions of or require the consent or approval of any party to any agreement agreement, letter of intent or understandingother document to which he is a party, written or oral(ii) violate or conflict with any arbitration award, judgment or decree or other restriction of any kind to or by which prevents him from entering into this Agreement he is subject or performing all of his obligations hereunderbound.

The Executive represents and warrants to the Company that he she has the legal right to enter into this Agreement and to perform all of the obligations on his her part to be performed hereunder in accordance with its terms and that he she is not a party to any agreement or understanding, written or oral, which prevents him her from entering into this Agreement or performing all of his her obligations hereunder.

Representations of the Executive. The Executive represents and warrants to the Company that he has the legal right to enter into this Agreement and to perform all of the obligations on his part to be performed hereunder in accordance with its terms and that he is not a party to any agreement or understanding, written or oral, which prevents him from entering into this Agreement or performing all of his obligations hereunder. Notwithstanding a termination by the Company under this Section 15.l, the Executive's obligations under Section 13 shall survive such termination.

Representations of the Executive. The Executive represents and warrants to the Company that (a) the information that he provided to the Company in connection with his application for employment with the Company is true and correct in all material respects, (b) he has the legal right to enter into this Agreement and to perform all of the obligations on his part to be performed hereunder in accordance with its terms and that (c) he is not a party to any agreement or understanding, written or oral, which prevents him from entering into this Agreement or performing all of his obligations hereunder.
