Common use of Representations of the Member Clause in Contracts

Representations of the Member. Each Member severally represents to the Company and the Manager: (a) that it is an “accredited investor” within the meaning of that term as defined in Regulation D promulgated under the Securities Act, (b) that it has sufficient knowledge and experience in business and financial matters to evaluate the Company, its proposed activities and the risks and merits of this investment, (c) that it has the ability to accept the high risk and lack of liquidity inherent in this type of investing, (d) that it is acquiring its interest in the Company for its own account for investment purposes only and not with a view to resale or distribution, (e) that it has had access to such information concerning the Company as it deems necessary to enable it to make an informed decision concerning the purchase an interest in the Company, and (f) that it understands that the interests in the Company have not been registered under the Securities Act, the securities laws of any state thereof or the securities laws of any other jurisdiction, nor is such registration contemplated.
