Representations, Performance. The representations and warranties of Purchaser contained in this Agreement shall be true and correct in all material respects at and as of the date hereof. Purchaser shall have duly performed and complied in all material respects with all agreements and conditions required by this Agreement to be performed or complied with by Purchaser prior to or on the Closing Date.
