Representations   The Borrowers make the representations and warranties set out in this Clause 13.1 to each Creditor Party on the date of this Agreement. 13.1.1 Status Each Security Party (which is not an individual) is a corporation, duly incorporated and validly existing under the law of its jurisdiction of incorporation and has the power to own its assets and carry on its business as it is being conducted. 13.1.2 Binding obligations The obligations expressed to be assumed by each Security Party in each Creditor Document to which it is a party are legal, valid, binding and enforceable obligations. 13.1.3 Non-conflict with other obligations The entry into and performance by each Security Party of, and the transactions contemplated by, the Creditor Documents do not conflict with: (a) any law or regulation applicable to that Security Party; (b) the constitutional documents of that Security Party; or (c) any document binding on that Security Party or any of its assets, and in borrowing the Loan and entering into any Hedging Transactions, the Borrowers are acting for their own account.
