Common use of Representations True and Covenants Performed Clause in Contracts

Representations True and Covenants Performed. The representations and warranties of Harvest set forth herein shall be true and correct in all material respects immediately prior to the Effective Date with the same effect as if made at that time. Harvest shall have performed all obligations and complied with all covenants required by this Agreement to be performed or complied with by them on or prior to the Effective Date. The President of Harvest shall have delivered to TRC a certificate to such effect.
