Common use of Representations True at Closing Clause in Contracts

Representations True at Closing. The representations and warranties made by Seller and Shareholder to Purchaser in this Agreement, the Exhibits hereto or any document or instrument delivered to Purchaser or its representatives hereunder shall be true and correct on the Closing Date with the same force and effect as though such representations and warranties had been made on and as of such time (except for changes contemplated by this Agreement).
