The representations and warranties made by the Company in this Agreement or the attachments hereto shall be true and correct in all material respects on the Closing Date with the same force and effect as though such representations and warranties had been made on and as of such time, except for changes previously disclosed to Purchaser or contemplated by this Agreement.
