All representations, warranties and agreements contained in this Agreement or in certificates signed on behalf of the Company by any officer of the Company or any of its subsidiaries (whether or signed by or on behalf of such officer, the Company or such subsidiary) any Selling Stockholder and delivered to the Representatives or counsel to the Underwriters, Underwriters pursuant to this Agreement shall remain operative and in full force and effect, regardless of any investigation made by or on behalf of any Underwriter, any officer, director, employee, partner, member or agent of any Underwriter or any person or entity controlling any Underwriter, or by or on behalf of the Company, any officer, officer or director or employee of the Company or any person or entity controlling the Company, or by or on behalf of any Selling Stockholder or any person or entity controlling a Selling Stockholder, and shall survive delivery of and payment for the Securities.

Representations, Warranties and Agreements to Survive Delivery. All representations, warranties and agreements contained in this Agreement or in certificates signed by any officer of the Company or any of its subsidiaries (whether signed on behalf of such officer, the Company Company, or such subsidiary) and delivered to the Representatives Representative or counsel to the Underwriters, shall remain operative and in full force and effect, regardless of any investigation made by or on behalf of any Underwriter, its affiliates, and any officerof their officers, directordirectors, employeeemployees, partnerpartners, member members or agent of any Underwriter agents, or any person controlling any Underwriter, or by or on behalf of the Company, any Guarantor, any officer, director or employee of the Company or any Guarantor, any person controlling the Company, and shall survive delivery of and payment for the Securities.

Representations, Warranties and Agreements to Survive Delivery. All representations, warranties and agreements contained in this Agreement or in certificates signed by any officer of the Company Transaction Entities or any of its their subsidiaries (whether signed on behalf of such officer, the Company Transaction Entities or such subsidiary) and delivered to the Representatives Representative or counsel to the Underwriters, shall remain operative and in full force and effect, regardless of any investigation made by or on behalf of any Underwriter, any officer, director, employee, partner, member or agent of any Underwriter or any person controlling any Underwriter, or by or on behalf of the Company, any officer, director or employee of the Company or any person controlling the Company, and shall survive delivery of and payment for the Securities.

All representations, warranties and agreements contained in this Agreement or in certificates signed by any officer of the Company or any of its subsidiaries (whether signed on behalf of such officer, the Company or such subsidiary) and delivered to the Representatives or counsel to the Underwriters, shall remain operative and in full force and effect, regardless of any investigation made by or on behalf of any Underwriter, any officer, director, employee, partner, member or agent of any Underwriter or any person controlling any Underwriter, or by or on behalf of the Company, any officer, director or employee of the Company or any person controlling the CompanyCompany or by or on behalf of the QIU, any officer, director, employee, partner, member or agent of the QIU or any person controlling the QIU, and shall survive delivery of and payment for the Securities.

All representations, warranties and agreements contained in this Agreement or in certificates signed by any officer of the Company and the Operating Partnership or any of its subsidiaries the Subsidiaries (whether signed on behalf of such officer, the Company and the Operating Partnership or such subsidiary) and delivered to the Representatives Underwriters or counsel to the Underwriters, shall remain operative and in full force and effect, regardless of any investigation made by or on behalf of any Underwriter, any officer, director, employee, partner, member or agent of any Underwriter or any person controlling any Underwriter, or by or on behalf of the CompanyCompany and the Operating Partnership, any officer, director or employee of the Company or the Operating Partnership or any person controlling the CompanyCompany or the Operating Partnership, and shall survive delivery of and payment for the Securities.
