All representations, warranties and agreements contained in this Agreement or in certificates of officers of the Company or any of its subsidiaries or the Selling Stockholder submitted pursuant hereto, shall remain operative and in full force and effect regardless of (i) any investigation made by or on behalf of any Underwriter or its Affiliates or selling agents, any person controlling any Underwriter, its officers or directors, any person controlling the Company or any person controlling any Selling Stockholder and (ii) delivery of and payment for the Securities.

Representations, Warranties and Agreements to Survive. All representations, warranties and agreements contained in this Agreement or in certificates of officers of the Company or any of its subsidiaries or the Selling Stockholder Shareholder submitted pursuant hereto, hereto shall remain operative and in full force and effect regardless of (i) any investigation made by or on behalf of any Underwriter or its Affiliates or selling agents, any person controlling any Underwriter, its officers or directors, any person controlling the Company or any person controlling any the Selling Stockholder Shareholder and (ii) delivery of and payment for the Securities.

All representations, warranties and agreements contained in this Agreement or in certificates of officers of Company, the Company Guarantor, or any of its their respective subsidiaries or the Selling Stockholder submitted pursuant hereto, shall remain operative and in full force and effect regardless of (i) any investigation made by or on behalf of any Underwriter or its Affiliates or selling agents, any person controlling any Underwriter, any officer or director of any Underwriter, the QIU or its officers or directorsAffiliates, any person controlling the Company QIU, or any person controlling any Selling Stockholder the Company and (ii) delivery of and payment for the Securities.

All representations, warranties and agreements contained in this Agreement or in certificates of officers of the Company or any of its subsidiaries subsidiaries, or the Selling Stockholder Guarantors submitted pursuant hereto, hereto shall remain operative and in full force and effect effect, regardless of (i) any investigation made by or on behalf of any Underwriter the Initial Purchaser or its Affiliates or selling agents, any person controlling any Underwriterthe Initial Purchaser, its officers or directors, directors or any person controlling the Company or any person controlling any Selling Stockholder the Guarantors and (ii) delivery of and payment for the Securities.

Representations, Warranties and Agreements to Survive. All representations, warranties and agreements contained in this Agreement or in certificates of officers of the Company Gaxxxxxx Xntities or any of its the Company’s subsidiaries or the Selling Stockholder submitted pursuant hereto, shall remain operative and in full force and effect regardless of (i) any investigation made by or on behalf of any Underwriter or its Affiliates or selling agents, any person controlling any Underwriter, its officers or directors, directors or any person controlling the Company or any person controlling any Selling Stockholder Gaxxxxxx Xapital Advisers or the Administrator and (ii) delivery of and payment for the Securities.

Representations, Warranties and Agreements to Survive. All representations, warranties and agreements contained in this Agreement or in certificates of officers of the Company Transaction Entities or any of its their subsidiaries or the Selling Stockholder Manager submitted pursuant hereto, shall remain operative and in full force and effect regardless of (i) any investigation made by or on behalf of any Underwriter or its Affiliates or selling agents, any person controlling any Underwriter, its officers or directors, any person controlling the Company Transaction Entities or any person controlling any Selling Stockholder the Manager and (ii) delivery of and payment for the Securities.

Representations, Warranties and Agreements to Survive. All representations, warranties and agreements contained in this Agreement or in certificates of officers of the Company or Company, any of its subsidiaries or the Selling Stockholder Stockholders submitted pursuant hereto, shall remain operative and in full force and effect regardless of (i) any investigation made by or on behalf of any Underwriter or its Affiliates or selling agents, any person controlling any Underwriter, its officers or directors, directors or any person controlling the Company or any person controlling any Selling Stockholder and (ii) delivery of and payment for the Securities.

All representations, warranties and agreements contained in this Agreement or in certificates of officers of the Company or its subsidiary or Stripes Holdings or any of its subsidiaries or the Selling Stockholder Subsidiaries submitted pursuant hereto, shall remain operative and in full force and effect regardless of (i) any investigation made by or on behalf of any Underwriter or its Affiliates or selling agents, any person controlling any Underwriter, its officers or directors, any person controlling the Company or any person controlling any Selling Stockholder Stripes Holdings and (ii) delivery of and payment for the Securities.

Representations, Warranties and Agreements to Survive. All representations, warranties and agreements contained in this Agreement or in certificates of officers of the Company or Company, any of its subsidiaries or the Selling Stockholder Subsidiaries, the Adviser and the Administrator submitted pursuant hereto, shall remain operative and in full force and effect regardless of (i) any investigation made by or on behalf of any Underwriter the Dealer Managers or its Affiliates or selling agentstheir respective Affiliates, any person controlling any Underwriterof the Dealer Managers, its their respective officers or directors, directors or any person controlling the Company or any person controlling any Selling Stockholder Company, (ii) issuance of the Rights and (iiiii) delivery of and payment for the Securities.

All representations, warranties and agreements contained in this Agreement or in certificates or letters of officers of either the Operating Partnership or the Company or any of its their respective subsidiaries or the Selling Stockholder Property Manager submitted pursuant hereto, shall remain operative and in full force and effect regardless of (i) any investigation made by or on behalf of any Underwriter or its Affiliates or selling agents, any person controlling any Underwriter, its officers or directors, any person controlling the Company or any person controlling any Selling Stockholder either the Operating Partnership or the Company and (ii) delivery of and payment for the Securities.

All representations, warranties and agreements contained in this Agreement or in certificates of officers of the Company or any of its subsidiaries subsidiaries, the Guarantors or the Selling Stockholder Warrant Holders submitted pursuant hereto, shall remain operative and in full force and effect regardless of (i) any investigation made by or on behalf of any Underwriter or its Affiliates or selling agents, any person controlling any Underwriter, its officers or directors, any person controlling the Company or any person controlling any Selling Stockholder Warrant Holder and (ii) delivery of and payment for the SecuritiesOffered ADSs.

All representations, warranties and agreements contained in this Agreement or in certificates of officers of the Company or Company, any of its subsidiaries the Subsidiaries or the Selling Stockholder Manager (if applicable) submitted pursuant hereto, shall remain operative and in full force and effect regardless of (i) any investigation made by or on behalf of any Underwriter or its Affiliates affiliates or selling agents, any person controlling any Underwriter, its officers or directors, any person controlling the Company or any person controlling any Selling Stockholder the Manager and (ii) delivery of and payment for the Securities.

Representations, Warranties and Agreements to Survive. All representations, warranties and agreements contained in this Agreement or in certificates of officers of the Company Transaction Entities or any of its their subsidiaries or the Selling Stockholder Stockholders submitted pursuant hereto, shall remain operative and in full force and effect regardless of (i) any investigation made by or on behalf of any Underwriter or its Affiliates or selling agents, any person controlling any Underwriter, its officers or directors, any person controlling the Company or any person controlling any Selling Stockholder and (ii) delivery of and payment for the Securities.

Representations, Warranties and Agreements to Survive. All representations, warranties and agreements contained in this Agreement or in certificates of officers of the Company or any of its subsidiaries or the Selling Stockholder Shareholders submitted pursuant hereto, hereto shall remain operative and in full force and effect regardless of (i) any investigation made by or on behalf of any Underwriter or its Affiliates or selling agents, any person controlling any Underwriter, its officers or directors, any person controlling the Company or any person controlling any Selling Stockholder Shareholder and (ii) delivery of of, and payment for for, the Securities.

Representations, Warranties and Agreements to Survive. All representations, warranties and agreements contained in this Agreement or in certificates of officers of the Company or any of its subsidiaries or the Selling Stockholder Shareholder submitted pursuant hereto, shall remain operative and in full force and effect effect, regardless of (i) any investigation made by or on behalf of any the Underwriter or its Affiliates or selling agents, any person controlling any the Underwriter, its officers or directors, directors or any person controlling the Company or any person controlling any the Selling Stockholder Shareholder, and (ii) shall survive delivery of and payment for the SecuritiesSecurities to the Underwriter.

All representations, warranties and agreements contained in this Agreement or in certificates of officers of (i) the Company or any of its subsidiaries or (ii) the Selling Stockholder or any of its subsidiaries, in each case submitted pursuant hereto, shall remain operative and in full force and effect regardless of (ix) any investigation made by or on behalf of any Underwriter or its Affiliates or selling agents, any person controlling any Underwriter, its officers or directors, directors or any person controlling the Company or any person controlling any Selling Stockholder and (iiy) delivery of and payment for the Securities.
