In order to induce each of the Company and the Vendor to enter into this Agreement and to consummate the transactions hereby, each of the Purchaser and Xx. Xxxxxx hereby represents to, warrants to and covenants with each of the Company and the Vendor, with the intent that each of the Company and the Vendor will rely thereon in entering into this Agreement and in concluding the transactions contemplated herein, that, to the best of the knowledge, information and belief of each of the Purchaser and Xx. This Agreement has been duly and validly executed and delivered by Parent.
