Representations, Warranties and Covenants; Obligations of Crow. All of Crow's representations and warranties made in this Agreement shall be true and correct in all material respects as of the date hereof and as of the date of Closing as if then made and Crow shall have performed in all material respects all of its covenants and other obligations under this Agreement, provided, however, Patriot may not terminate this Agreement unless the untrue representations and warranties or failure to comply with covenants materially and adversely affects conveyance of the Property to Patriot or the use, value, marketability, insurability or operation of the Property.
