REPRESENTATIONS, WARRANTIES AND COVENANTS OF GRANTEE. (a) The Grantee represents and warrants that he or she is acquiring this Option and, in the event this Option is exercised, the Shares (unless the Shares are subject to a then effective registration statement under the Securities Act), for investment, for his or her own account and not with a view to the distribution thereof, and that he or she has no present intention of disposing of this Option or the Shares (unless the Shares are subject to a then effective registration statement under the Securities Act) or any interest therein or sharing ownership thereof with any other person or entity.
