Representations, Warranties and Covenants of Licensee. Licensee represents, warrants and covenants that, as of the Effective Date: 7.2.1. Licensees are corporations, duly organized validly existing and in good standing under the laws of its state of incorporation; 7.2.2. The execution, delivery and performance of this Agreement has been duly authorized by all necessary corporate action on the part of Licensees; and 7.2.3. Licensee will not practice any of the rights in, to or under the Licensed Patents or Joint Patents outside of the Field.
