Licensor is a corporation, duly organized, validly existing and on good standing under the laws of the Province of its incorporation. 6.1.2. Licensor has the right and authority to gram he rights and license gamed to Licensee under this Agreement; 6.1.3. The execution, delivery and performance of this Agreement have been duly authorized by all necessary corporate action on the part of Licensor.
