Common use of Representations, Warranties and Performance Clause in Contracts

Representations, Warranties and Performance. The representations ------------------------------------------- and warranties of Purchaser shall be deemed to have been made again at and as of the Closing Date and shall then be true and correct in all material respects with the same force and effect as if such representations and warranties had been made at and as of the Closing Date; Purchaser shall have performed and complied with all agreements, conditions and covenants required by this Agreement to be performed or complied with by it prior to or at the Closing Date, and Purchaser shall have furnished to Sellers an officer's certificate dated the Closing Date, verifying, in such detail as Sellers may reasonably request, to the fulfillment of the foregoing conditions.
