Representative Authority. Each undersigned representative of the Parties to this Agreement certifies that she or he is fully authorized to enter into the terms and conditions of this Agreement and to execute and legally bind the Parties to this Agreement.
Representative Authority. Each person signing this Agreement represents and warrants that he or she is duly authorized and has the legal capacity to execute the Agreement.

Representative Authority. For administrative convenience, Tangshan Pan-Western Heat and Power Co., Ltd. has appointed Tangshan Panda Heat and Power Co., Ltd. as its agent with power- of-attorney to represent and bind Tangshan Pan-Western Heat and Power Co., Ltd. on all matters herein or relating to its Power Plant.
Representative Authority. Xxxxx shall have no authority to bind, and shall take no action attempting to bind, Deep Down for any purpose with any third-party, including but not limited to, any Governmental Agency (defined below), shareholders and clients of Deep Down. Xxxxx shall not communicate with any Governmental Agency, client or shareholder of Deep Down in Xxxxx’x capacity as a consultant on behalf of Deep Down without express written authorization from Deep Down’s CEO.
Representative Authority. While no final agreement shall be executed without ratification by the Association, and adoption by the Board, the parties mutually pledge that their representatives shall be clothed with all necessary power and authority to make proposals, counter proposals, or concessions in the course of negotiations.
Representative Authority. 1. The General Manager shall represent the Corporation judicially and extra-judicially along with the other General Managers in accordance with his appointment and the by-laws.
2. The General Manager shall observe the limitations imposed upon him by this contract, the by-laws, the statute or a resolution by the shareholder committee or general meeting of shareholders.
