Representative Obligations, Representations and Warranties. 5.1 Efforts. Representative shall use its commercially reasonable efforts (subject to the terms of this Agreement) in carrying out the Objective. Representative shall require that its employees and other persons acting on Representative’s behalf, act in all dealings with Customers and Prospective Customers in material compliance with all applicable Laws and in material compliance at all times with all relevant terms and conditions of this Agreement. Where required by applicable Law or any applicable regulator, Representative shall disclose the terms of this Agreement to the Prospective Customer, subject to notifying Distributor of such disclosure (except to the extent that the disclosure is prohibited by such Law or regulator).
