Representatives’ Warrant Solicitation Fee. The Company hereby agrees to engage the Representatives as its exclusive advisors with respect to the solicitation of the exercise of the Warrants and pay the Representatives a warrant solicitation fee equal to five percent (5%) of the gross proceeds from such Warrant exercises during the period commencing on the date that is twelve (12) months from the Effective Date in accordance with the guidelines of the Financial Industry Regulatory Authority (“FINRA”).
