Repurchase by the Parent. (a) At any time within 120 days following an Executive’s (i) termination of employment with the Company as a result of death, (ii) termination of employment with the Company as a result of Disability, (iii) termination of employment by the Company without Cause, (iv) resignation of employment with the Company for Good Reason, (v) termination of employment by the Company for Cause, (vi) resignation of employment with the Company without Good Reason or (vii) termination of employment for any reason at any time after the expiration of the Term, the Parent shall have the right, but not the obligation, to cause the Executive to sell, and the Executive shall have the right, but not the obligation, to cause the Company to purchase, the Management Units as follows:
