REPURCHASE PRICE REDUCED AT OPTION HOLDER'S OPTION. In the event the repurchase price specified in Section 8(a) would subject the purchase of the OPTION GRANTOR Option or the OPTION GRANTOR Shares purchased by OPTION HOLDER pursuant to the OPTION GRANTOR Option to a vote of the shareholders of OPTION GRANTOR pursuant to applicable law or the OPTION GRANTOR Articles, then OPTION HOLDER may, at its election, reduce the repurchase price to an amount which would permit such repurchase without the necessity for such a shareholder vote.
