Common use of Request by Stockholder Clause in Contracts

Request by Stockholder. If the Company shall receive at any time after 180 days following the effective date of the registration statement for the Company's initial public offering, a written request from either Stockholder (the "INITIATING HOLDER") that the Company file a registration statement under the 1933 Act covering the registration of Registrable Securities with a reasonably anticipated aggregate price to the public of at least three million dollars ($3,000,000) pursuant to this Section 1.2, then the Company shall effect, as soon as practicable, and in any event use its best efforts to effect within 60 days of such request, the registration under the 1933 Act of all Registrable Securities which the Initiating Holder requests to be registered and included in such registration, subject only to the limitations of this Section 1.2.
