Requests for PHI. Business Associate agrees to notify Covered Entity within five (5) business days of Business Associate’s receipt of any request, subpoena, or judicial or administrative order for PHI. To the extent Covered Entity decides to assume responsibility for challenging the validity of such request, Business Associate agrees to cooperate fully with Covered Entity in such challenge.

Either party will immediately notify the other party in writing, and provide the other party with a copy, of any subpoena or other discovery request or any judicial, governmental, or administrative order requesting or requiring the party to disclose PHI that may be held by the other party pursuant to this BAA/DUA.
