Requests, Rules, Guidelines, etc Clause Samples
The "Requests, Rules, Guidelines, etc" clause defines how parties should handle and interpret non-binding instructions, suggestions, or recommendations within the agreement. It clarifies that such requests or guidelines, while potentially important for cooperation or best practices, do not carry the same legal force as mandatory obligations or requirements. This clause helps prevent confusion by distinguishing between what is required and what is merely suggested, ensuring that parties understand which provisions are enforceable and which are advisory, thereby reducing the risk of disputes over compliance.
Requests, Rules, Guidelines, etc. Notwithstanding anything herein to the contrary, (i) all requests, rules, guidelines, requirements and directives promulgated by the Bank for International Settlements, the Basel Committee on Banking Supervision (or any successor or similar authority) or by United States or foreign regulatory authorities, in each case pursuant to Basel III, and (ii) the ▇▇▇▇-▇▇▇▇▇ ▇▇▇▇ Street Reform and Consumer Protection Act and all requests, rules, guidelines, requirements and directives thereunder or issued in connection therewith or in implementation thereof, shall in each case be deemed to be a change in law, regardless of the date enacted, adopted, issued or implemented.
