Common use of Required Consents, Etc Clause in Contracts

Required Consents, Etc. Except as described in Schedule 2.2(q) hereto, -13- 15 to the best of the Shareholders' knowledge, no consent, approval, authorization, declaration or filing, including without limitation any consent, approval or authorization of or declaration or filing with any governmental authority, is required on the part of the Company in connection with the execution and delivery of this Agreement or exchange of Company Stock pursuant hereto.
