Required Governmental Consents and Public Meetings. Except for the Electorate Approval, approvals which may be required in connection with the transfer of Government Authorizations, the assumption and assignment of the Assumed Contracts, which the Parties contemplate will be obtained prior to the Closing Date, no consent, approval, authorization of or filing or registration with any Government Entity is required to be obtained or made by District in order for District to consummate the sale of the Transferred Assets to AH Mendocino pursuant to this Agreement.
