Required Period and Shelf Registration Procedures. The Company shall (i) cause the Shelf Registration Statement to include a resale prospectus intended to permit each Holder to sell, at such Holder's election, all or part of the Registrable Securities held by such Holder without restriction, (ii) use its reasonable efforts to prepare and file with the Commission such supplements, amendments and post-effective amendments to the Shelf Registration Statement as may be necessary to keep the Shelf Registration Statement continuously effective (subject to Section 3.2(c) and to any Suspension Period(s) referred to below) for so long as the securities registered thereunder constitute Registrable Securities (the "REQUIRED PERIOD"), and (iii) use its reasonable efforts to cause the resale prospectus to be supplemented by any required prospectus supplement (subject to Section 3.2(c) and to any Suspension Period(s) referred to below).
