Required Purchaser Authorizations. There is no requirement for the Purchaser to make any filing with, give any notice to, or obtain any Authorization of, any Governmental Authority as a result of, or as a condition to the lawful completion of, the transactions contemplated by this Agreement or any of the Acquisition Agreements.

There is no requirement for the Purchaser to make any filing with, give any notice to, or obtain any Authorization of, any Governmental Authority as a result of, or in connection with, or as a condition to the lawful completion of, the transactions contemplated by this Agreement, except the TSX Notice, if applicable, and the filing of certain documents on SEDAR by DIV in order to satisfy its continuous disclosure obligations under National Instrument 51-102 Continuous Disclosure Obligations of the Canadian securities administrators.
