Requirement to instigate a Change Proposal. The Contractor acknowledges that under the requirements of the Head Contract the Employer may be required by the NDA to bring a baseline, funding and/or the Employer's performance based incentive change proposal. The Contractor agrees to provide such assistance as reasonably required by the Employer to enable it to fulfil its obligations under the Head Contract. The Contractor also agrees to be bound by any decision under the Head Contract insofar as it affects the Contractor and/or the Contractor's rights or obligations under this Contract. By virtue of the Prevention of Corruption Acts 1889 to 1916 and any applicable law creating offences in respect of fraudulent acts and common law in respect of fraudulent acts, the provisions of which apply to this Contract, the Employer may terminate this Contract without notice at any time if the Contractor or anyone employed by or acting on his behalf directly or indirectly: • gives, or offers, or agrees to give, to anyone employed or engaged by the Employer and/or the NDA any gift or consideration of any kind for doing, or forbearing to do, or for having done or forborne to do, any act in relation to the obtaining or execution of this Contract and/or the Head Contract, or any other contract for the Employer and/or the NDA, or for forbearing to show favour or disfavour to anyone in relation to this or any other contract for the Employer and/or the Head Contract or any other contract with the NDA; • enters into the Head Contract, this Contract or any other contract with the Employer or the NDA in connection with which commission has been paid or has been agreed to be paid by the Contractor or on its behalf or to its knowledge, unless, before the relevant contract is entered into, particulars of any such commission and of the terms and conditions of any such contract for the payment thereof have been disclosed in writing to the Employer or the NDA (as applicable); • commits any offence: • under the Prevention of Corruption Acts 1889 - 1916; • under any applicable Law creating offences in respect of fraudulent acts; or • at common law in respect of fraudulent acts in relation to this Contract or the Head Contract or any other contract, • with the Employer or the NDA; or • defrauds or attempts to defraud or conspires to defraud the Employer or the NDA.
