Requirement to Participate in Sales. If the Triggering Event that occurs is described in Section 2.1(i), (i) Numerex is permitted to sell its Shares pursuant to Section 3.7 and (ii) the Offeror requires, as a condition of the sale, that the Offeror acquire all of the Shares of the Non-Affected Shareholders, then the Non-Affected Shareholders shall sell all of their Shares to the Offeror for not less than the same price terms and other terms and conditions as those offered to Numerex.
