Requirements for Services. In performing the Services, Vendor shall (and shall ensure that Vendor’s Agents shall):
a) Comply with all directives of WCS regarding conduct on WCS’s property, such as safety rules and regulations, and applicable laws relating to the services, including federal, state and local laws and requirements, rules, regulations, Executive Orders and ordinances. Vendor will reimburse WCS for any expenses incurred by WCS on account of any failure or alleged failure by Vendor or Vendor’s Agents to comply with any of the foregoing, and WCS may deduct such expenses from any amount that may otherwise be due to Vendor.
b) Take all necessary precautions for the safety of, and provide the necessary protection to prevent damage, injury, or loss to, (i) all persons on or around the work site, including Vendor’s staff, Vendor’s Agents, employees of WCS, and the public; and (ii) other property at or adjacent to the work site.
c) As directed by WCS, coordinate its efforts with those of WCS employees or any other contractor of WCS performing work adjacent or connected to the work site. Unless otherwise agreed to by the parties, Vendor and Vendor’s Agents shall observe the working hours, working rules and holiday schedules of WCS while working at WCS’s property.
d) At the direction of WCS, remove or replace, as necessary, any of Vendor’s staff and/or Vendor’s Agents working on WCS’s property and whose work does not meet WCS’s standards or who is not cooperating in completing the Services in a professional and timely manner.

Vendor will reimburse WCS for any expenses incurred by WCS on account of any failure or alleged failure by Vendor or Vendor’s Agents to comply with any of the foregoing, and WCS may deduct such expenses from any amount that may otherwise be due to Vendor.

Requirements for Services. 6.1 If the State implements changes to its registration business rules or technical specifications, the Supplier must implement those changes in its System and the Easy Business Support Services upon notification from the State.
6.2 The Supplier must:
(a) prevent unauthorised access to the TRAILS Database and Access Services;
(b) ensure prospective users are trained and deemed competent in the use of the TICA application prior to access being provisioned;
(c) within 5 business days of occurring, advice be provided to the department of any personal that cease to deliver Easy Business Support Services so that their access to TICA may be removed;
(d) have clearly expressed procedures for their staff on the management of personal/confidential information;
(e) not transmit Data or allow Data to be transmitted to any person other than a Customer;
(f) only use the Data for its intended purpose;
(g) ensure that the Supplier’s System does not contain, carry or display any virus or other characteristic which interferes with, corrupts or otherwise jeopardises the confidentiality, integrity and/or availability of any of the Access Services or the State’s Systems;
(h) meet the skill requirements in Schedule 1;
(i) keep secret its identification codes, any other identification and Credentials for access to the TRAILS Database, any of the Access Services and the State’s Systems;
(j) ensure that Credentials that take the form of a password conform to the Department’s password managed standard as defined in the Identify and Access Management Standard including future modifications to the standard.
(k) distribute Credentials via an industry accepted secure method;
(l) ensure that Credentials that take the form of a digital certificate used to directly access the Access Services, expire after no more than 24 months.
(m) not use depreciated, superseded, or insecure algorithms or protocols for the electronic transfer, storage or handling of Private or Confidential Information (n) not knowingly do or fail to do anything which would breach any agreement or arrangement involving the State relating to the use, security and integrity of the TRAILS Database, the Access Services and the State’s Systems;

Seller shall provide and maintain a system of inspection and oversight acceptable to TCH in its reasonable discretion to ensure all Services provided under this Purchase Order will be diligently performed in accordance with the Project Description, if applicable, and the applicable industry practices and standards of diligence, care and skill currently recognized in Seller's industry. The adequacy of the performance of the Services provided under this Purchase Order are subject to final inspection within a reasonable time after actual performance and TCH shall have the right to terminate any Purchase Order that fails to meet the oversight requirements and minimum quality standards provided in this Paragraph 10.

Requirements for Services. UCLA shall provide the following AMCCC services through pre-designated representatives from its UCLA Educators to the LAFD, as set forth below. There will be one (1) primary AMCCC and one (1) assistant to the primary AMCCC. Both primary AMCCC and the assistant shall be pre-designated and must be pre- approved by the LAFD.
1. The AMCCC will be assigned to the LAFD’s Air Operations Section and will report to the Air Operations Section Commander. The AMCCC may receive position-specific oversight from both the LAFD Trauma Care Coordinator/ EMS Division Commander and/or the LAFD Medical Director.
2. The AMCCC will organize and/or supply State and Local mandated continuing education and quality management for the LAFD personnel assigned as air-medical crewmembers, and will maintain required records of such. Education of air-medical personnel will include both on-going didactic and clinical experience corresponding to the scope of services provided, and may include direct field observations of patient care.
3. The AMCCC will interact with peers, officers, hospital staff, public safety personnel, law enforcement personnel and members of the public while carrying out his/her assigned duties.
4. The AMCCC will review required air-medical patient care reports for quality improvement functions, and assists in preparation of materials for required audits.
5. The AMCCC services shall be provided on dates and times mutually agreed upon between the LAFD and UCLA. Services shall include:
