Requirements for Services. In performing the Services, Vendor shall (and shall ensure that Vendor’s Agents shall):
a) Comply with all directives of WCS regarding conduct on WCS’s property, such as safety rules and regulations, and applicable laws relating to the services, including federal, state and local laws and requirements, rules, regulations, Executive Orders and ordinances. Vendor will reimburse WCS for any expenses incurred by WCS on account of any failure or alleged failure by Vendor or Vendor’s Agents to comply with any of the foregoing, and WCS may deduct such expenses from any amount that may otherwise be due to Vendor.
b) Take all necessary precautions for the safety of, and provide the necessary protection to prevent damage, injury, or loss to, (i) all persons on or around the work site, including Vendor’s staff, Vendor’s Agents, employees of WCS, and the public; and (ii) other property at or adjacent to the work site.
c) As directed by WCS, coordinate its efforts with those of WCS employees or any other contractor of WCS performing work adjacent or connected to the work site. Unless otherwise agreed to by the parties, Vendor and Vendor’s Agents shall observe the working hours, working rules and holiday schedules of WCS while working at WCS’s property.
d) At the direction of WCS, remove or replace, as necessary, any of Vendor’s staff and/or Vendor’s Agents working on WCS’s property and whose work does not meet WCS’s standards or who is not cooperating in completing the Services in a professional and timely manner.

a) Comply with (i) all directives of WCS regarding conduct on WCS’s property, such as safety rules and regulations, (ii) applicable laws relating to the services, including federal, state and local laws and requirements, rules, regulations, Executive Orders and ordinances, and (iii) generally accepted professional standards of performance and ethical standards of conduct. Vendor will reimburse WCS for any expenses incurred by WCS on account of any failure or alleged failure by Vendor or Vendor’s Agents to comply with any of the foregoing, and WCS may deduct such expenses from any amount that may otherwise be due to Vendor.
b) Take all necessary precautions for the safety of, and provide the necessary protection to prevent damage, injury, or loss to, (i) all persons on or around the work site, including Vendor’s staff, Vendor’s Agents, employees of WCS, and the public; and (ii) other property at or adjacent to the work site.

Requirements for Services.
6.1 If the State implements changes to its registration business rules or technical specifications, the Supplier must implement those changes in its System and the Easy Business Support Services upon notification from the State.
6.2 The Supplier must:
a) prevent unauthorised access to the TRAILS Database and Access Services;
b) not transmit Data or allow Data to be transmitted to any person other than a Customer;
c) only use the Data for its intended purpose;
d) ensure that the Supplier’s System does not contain, carry or display any virus or other characteristic which interferes with, corrupts or otherwise jeopardises the security or integrity of any of the Access Services or the State’s Systems;
e) meet the skill set requirements in Schedule 1;
f) keep secret its identification codes, any other identification and passwords for access to the TRAILS Database, any of the Access Services and the State’s Systems;
g) ensure that Customer passwords for client certificates or for access to the Supplier’s System that uses those client certificates are at least 8 characters in length and include a combination of numbers, symbols and upper and lower case letters;
h) distribute passwords for client certificates or for access to the Supplier’s System that uses those client certificates to Customers via a secure method (for example, using an encrypted transfer mechanism or physical distribution by CDROM);
i) not knowingly do or fail to do anything which would breach any agreement or arrangement involving the State relating to the use, security and integrity of the TRAILS Database, the Access Services and the State’s Systems;
j) comply with any laws that are relevant to the provision of Easy Business Support Services; k) maintain a level of performance in its System and support services which is acceptable to the State;
l) maintain its System in accordance with the business rules and technical specifications provided by the State from time to time; and
m) achieve the Key Performance Measures.
Requirements for Services. 4.1. Subcontractors for the implementation of the assignment
Requirements for Services. The client designates a contact person as the project manager for 000.xxxx as well as a substitute. The contact person or his substitute shall be available to 000.xxxx for queries during regular business hours. Furthermore, the client provides 000.xxxx with one or several technical contact persons who are familiar with the client’s systems and are available to 000.xxxx for queries and support during regular business hours. The client provides the entire content and data in all languages required. Should image material be required (company logos, etc.), it shall be provided by the client in digital formats (TIFF, JPG, GIF or EPS) of sufficient resolution and quality, and license-free. The client provides 000.xxxx with all required data. Seller shall provide and maintain a system of inspection and oversight acceptable to TCH in its reasonable discretion to ensure all Services provided under this Purchase Order will be diligently performed in accordance with the Project Description, if applicable, and the applicable industry practices and standards of diligence, care and skill currently recognized in Seller's industry. The adequacy of the performance of the Services provided under this Purchase Order are subject to final inspection within a reasonable time after actual performance and TCH shall have the right to terminate any Purchase Order that fails to meet the oversight requirements and minimum quality standards provided in this Paragraph 10.

Seller shall provide and maintain a system of inspection and oversight acceptable to MPTC in its reasonable discretion to ensure all Services provided under this Purchase Order will be diligently performed in accordance with the Project Description, if applicable, and the applicable industry practices and standards of diligence, care and skill currently recognized in Seller's industry. Seller represents and warrants to MPTC that all work performed meets the standards of the Occupational Safety and Health Act of 1970, as amended. The adequacy of the performance of the Services provided under this Purchase Order are subject to final inspection within a reasonable time after actual performance and MPTC shall have the right to terminate any Purchase Order that fails to meet the oversight requirements and minimum quality standards provided in this Paragraph 10.
Requirements for Services. Services provided under this PO will be diligently performed in accordance with the applicable industry practices, care and skill, in CHI’s sole discretion.

4.1. Subcontractors for the implementation of the assignment The tenderer has the opportunity to hire a subcontractor / s to carry out the assignment. A subcontractor is a supplier who assists the tenderer with the services covered by this procurement and which are not invoked to ensure economic, technical and professional capacity. Such suppliers who supply various goods and services to the tenderer are not either to be considered as subcontractors. If a subcontractor (s) will be engaged for the execution of the assignment, the following information must be stated about the subcontractor (s) in the tender: Name Organization number Tasks that subcontractor (s) will perform At the request of Xxxx, a tenderer who hires a subcontractor (s) to carry out the assignment, by means of a certificate or copy of a signed cooperation agreement, must demonstrate a cooperation relationship with the subcontractor (s) that is valid throughout the framework agreement period. The tenderer is responsible for the subcontractor's work as for his own work. The tenderer is also responsible for the subcontractor complying with requirements, criteria and conditions in the framework agreement.
