Common use of Requisite Regulatory Approvals and Stockholder Approvals Clause in Contracts

Requisite Regulatory Approvals and Stockholder Approvals. All authorizations, approvals and permits required to be obtained from or made with any Governmental Authority in order to consummate the transactions contemplated by this Agreement, except for any such authorizations, approvals and/or permits the failure of which to obtain would not reasonably be expected to result in a the Company Material Adverse Affect or a Purchaser Material Adverse Affect (the “Requisite Regulatory Approvals”), and the Purchaser Stockholder Approval shall have been obtained or made.
