Common use of Resale Rights Only Clause in Contracts

Resale Rights Only. Integrator acknowledges and agrees that its rights related to the HealthPresence Products are limited to the right to resell the HealthPresence Products and associated Cisco technical support services and advanced services described in the Cisco HealthPresence Solution Design Guide. Unless expressly agreed to in writing with Cisco, Integrator is not permitted to engage in any co-branding or rebranding of the HealthPresence Products. Integrator shall not engage in stocking of the HealthPresence Products. Integrator shall not make any changes to Hardware, or Software in the form of substitutions, updates, patches, modifications, additions, or the like without advance validation and approval by Cisco in writing, and any such Cisco approval shall be provided or withheld at Xxxxx’s sole discretion. Integrator hereby agrees to provide a copy of the terms and conditions in this Section 2 and 3 (or substantially similar terms and conditions) to End User and have End User agree to be bound by such terms and conditions pursuant to a legally enforceable written agreement.
