Rescheduled Cargo Clause Samples
The Rescheduled Cargo clause defines the procedures and conditions under which the delivery or shipment of cargo can be postponed or rescheduled. Typically, this clause outlines the notice requirements, acceptable reasons for rescheduling, and any associated costs or penalties that may apply. For example, it may allow a buyer or seller to change the delivery date due to unforeseen circumstances, provided they notify the other party within a specified timeframe. The core function of this clause is to provide flexibility in logistics while ensuring both parties are aware of their rights and obligations, thereby minimizing disputes and disruptions in the supply chain.
Rescheduled Cargo. 7.5.1 If due to a Failed Cargo Event:
(a) Operator requests a User to reschedule one or more Cargoes; and
(b) a User is able to reschedule such Cargo(es) (such User being a "Rescheduling User"), then the Defaulting User shall reimburse the Rescheduling User for all reasonable and documented direct costs incurred by the Rescheduling User, to the extent such costs have been pre-approved by Operator, such approval not to be unreasonably withheld, conditioned or delayed, in relation to such rescheduled Cargo ("Rescheduled Cargo Compensation").
7.5.2 The Rescheduling User shall provide Operator with documents and calculations in support of any amount claimed under Clause 7.5.1, and Operator shall, acting as a Reasonable and Prudent Operator, confirm such amounts and issue a Rescheduled Cargo Compensation Notification to the Defaulting User and each Rescheduling User, which shall include the costs payable to each Rescheduling User by the Defaulting User.
Rescheduled Cargo. (a) If, due to a Failed LNG Cargo Event: Terminal Operator requests a B&L User to reschedule one or more AP LNG Cargos or Spot Cargos; and a B&L User is able to reschedule its AP LNG Cargo or Spot Cargo (such B&L User being a “Rescheduling User”), then the Defaulting User shall reimburse the Rescheduling User for all reasonable and documented direct costs incurred by the Rescheduling User, to the extent such direct costs have been pre-approved by Terminal Operator such approval not to be unreasonably denied, in relation to such Rescheduled Cargo.
(b) The Rescheduling User shall provide Terminal Operator with documents and calculations in support of any amount claimed under clause 8.4(a), and Terminal Operator shall, acting as a Reasonable and Prudent Operator, confirm such amounts and issue a Rescheduled Cargo Compensation Notification to the Defaulting User and the Rescheduling User.
