Common use of Rescission Right Clause in Contracts

Rescission Right. Executive expressly acknowledges and recites that (a) he has read and understands the terms of this Release in its entirety, (b) he has entered into this Release knowingly and voluntarily, without any duress or coercion; (c) he has been advised orally and is hereby advised in writing to consult with an attorney with respect to this Release before signing it; (d) he was provided twenty-one (21) calendar days after receipt of the Release to consider its terms before signing it; (e) should he nevertheless elect to execute this Agreement sooner than 21 days after he has received it, he specifically and voluntarily waives the right to claim or allege that he has not been allowed by the Company or by any circumstances beyond his control to consider this Agreement for a full 21 days; and (f) he is provided seven (7) calendar days from the date of signing to terminate and revoke this Release, in which case this Release shall be unenforceable, null and void. Executive may revoke this Release during those seven (7) days by providing written notice of revocation to the Company at the address specified in Section 7.8 of the Agreement.

The Executive expressly acknowledges and recites that (ai) he has read and understands the terms of this Release Agreement in its entirety, (bii) he has entered into this Release Agreement knowingly and voluntarily, without any duress or coercion; (ciii) he has been advised orally and is hereby advised in writing to consult with an attorney with respect to this Release Agreement before signing it; (div) he was provided twenty-one (21) calendar days after receipt of the Release Agreement to consider its terms before signing it; and (ev) should he nevertheless elect to execute this Agreement sooner than 21 days after he has received it, he specifically and voluntarily waives the right to claim or allege that he has not been allowed by the Company or by any circumstances beyond his control to consider this Agreement for a full 21 days; and (f) he is provided seven (7) calendar days from the date of signing to terminate and revoke this ReleaseAgreement, in which case this Release Agreement shall be unenforceable, null and void. The Executive may revoke this Release Agreement during those seven (7) days by providing written notice of revocation to the Company at Company, 0 Xxxxx Xxxxxx Xxxxxxx, Xxxxx 000, Xxxxxxx, XX 00000, attention: Chief Executive Officer. If the address specified in Section 7.8 Executive does not revoke this Agreement within the seven (7) day revocation period, this Agreement shall become effective on the eighth (8th) day following the Executive’s execution of the Agreement.

Executive Employee expressly acknowledges and recites that (a) he has read and understands the terms of this Release in its their entirety, (b) he has entered into this Release knowingly and voluntarily, without any duress or coercion; (c) he has been advised orally and is hereby advised in writing to consult with an attorney with respect to this Release before signing it; (d) he was provided twenty-one (21) calendar days after receipt of the Release to consider its terms before signing it; and (e) should he nevertheless elect to execute this Agreement sooner than 21 days after he has received it, he specifically and voluntarily waives the right to claim or allege that he has not been allowed by the Company or by any circumstances beyond his control to consider this Agreement for a full 21 days; and (f) he is provided seven (7) calendar days from the date of signing to terminate and revoke this Release, in which case this Release shall be unenforceable, null null, and void. Executive Employee may revoke this Release during those seven (7) days by providing written notice of revocation to the Company at the address specified in Section 7.8 8 herein. For the avoidance of doubt, if Employee fails to execute and deliver this Release to the AgreementCompany within twenty-one (21) days following the Effective Time, or timely revokes it in accordance with this Section 9, the Company’s obligation to provide the Separation Benefits shall immediately terminate.

The Executive may revoke this Release during those seven (7) days by providing written notice of revocation to the Company at the address specified set forth in the Agreement. If the Executive revokes this Release, he will forfeit the payments, rights and benefits described in Section 7.8 3 of the AgreementAgreement and will not be entitled to any other severance benefits.

Executive expressly acknowledges and recites that (a) he has read and understands the terms of this Release Agreement in its entirety, (b) that he has entered into this Release Agreement knowingly and voluntarily, without any duress or coercion; (c) he has been advised orally and is hereby advised in writing to consult with an attorney with respect to this Release Agreement before signing it; (d) he was provided twenty-one (21) calendar days after receipt of the Release this Agreement to consider its terms before signing it; and (e) should he nevertheless elect to execute this Agreement sooner than 21 days after he has received it, he specifically and voluntarily waives the right to claim or allege that he has not been allowed by the Company or by any circumstances beyond his control to consider this Agreement for a full 21 days; and (f) he is provided seven (7) calendar days from the date of signing to terminate and revoke this ReleaseAgreement, in which case this Release Agreement shall be unenforceable, null and voidvoid and ERT shall have no further obligation to make the cash payment referenced in Section 2(a) hereof or to continue providing the benefits referenced in Section 2(b) hereof.
