Common use of RESERVATION AND AUTHORIZATION OF COMMON STOCK Clause in Contracts

RESERVATION AND AUTHORIZATION OF COMMON STOCK. The Company shall at all times reserve a sufficient number of shares of common stock for issuance upon exercise of this Warrant, which stock, upon issuance in accordance with the terms of this Warrant, will be duly authorized, validly issued, fully paid and non-assessable.

RESERVATION AND AUTHORIZATION OF COMMON STOCK. The From and after such time that the Company obtains shareholder approval to increase the Company’s number of authorized shares, the Company shall at all times reserve a sufficient and keep available for issue upon the exercise of Warrants such number of its authorized but unissued shares of common stock for issuance upon exercise of this Warrant, which stock, upon issuance in accordance with the terms of this Warrant, Common Stock as will be duly authorized, validly issued, fully paid and non-assessablesufficient to permit the exercise in full of all outstanding Warrants.

RESERVATION AND AUTHORIZATION OF COMMON STOCK. (a) The Company shall at all times reserve a sufficient number of shares of common stock and keep available for issuance upon the exercise of this Warrant, which stock, Warrant the maximum number of its authorized but unissued shares of Common Stock as could then potentially be required to permit the exercise in full of this and all outstanding Warrants. All shares of Common Stock issuable upon issuance exercise of any Warrant and payment therefor in accordance with the terms of this Warrant, will such Warrant shall be duly authorized, and validly issued, issued and fully paid and non-assessablenonassesable, and not subject to or privileged with any preemptive rights.
