Common use of Reservation of Shares Clause in Contracts

Reservation of Shares. The Company shall reserve at all times so long as the Warrants remain outstanding, free from preemptive rights, out of its treasury Common Stock or its authorized but unissued shares of Common Stock, or both, solely for the purpose of effecting the exercise of the Warrants, a sufficient number of shares of Common Stock to provide for the exercise of the Warrants.

The Company shall reserve at all times so long as the Warrants remain outstanding, free from preemptive rights, reserve and keep available out of its treasury Common Stock or the aggregate of its authorized but unissued shares shares, free of Common Stockpreemptive rights, or both, solely for the purpose of effecting the exercise of the Warrants, a sufficient such number of its duly authorized shares of Common Stock as shall be sufficient to provide for enable the exercise Company to issue Common Stock upon conversion of the Warrantsall such Preferred Stock.

Reservation of Shares. The Company shall reserve at all --------------------- times so long as the Warrants remain outstandingreserve and keep available, free from preemptive rights, out for issuance upon the exercise of its treasury Common Stock or Warrants, the maximum number of its authorized but unissued shares of Common Stock, or both, solely for the purpose of effecting Stock which may then be issuable upon the exercise in full of the all outstanding Warrants, a sufficient number of shares of Common Stock to provide for the exercise of the Warrantsinitial such reservation being 115,000 shares.

Reservation of Shares. The Company shall take all actions necessary to reserve and keep available, at all times so long as the Warrants remain outstanding, and free from preemptive rights, out of its treasury Common Stock or the aggregate of its authorized but unissued shares of Common Stock, or both, solely Stock for the purpose of effecting the exercise of the Warrants, a sufficient the full number of shares of Common Stock to provide for deliverable upon the exercise of the Warrantsall outstanding Warrants not theretofore exercised.

The Company shall reserve at all times so long as during the period in which the Warrants remain outstanding, free from preemptive rights, are exercisable reserve and keep available out of its treasury Common Stock or its authorized but unissued shares of Common Stockstock, or both, solely for the purpose of effecting the issuance of stock upon exercise of the Warrants, a sufficient such number of shares of its duly authorized Warrant Common Stock as shall from time to provide for time be sufficient to effect the issuance of shares of Warrant Common Stock upon exercise of all Warrants at the Warrantstime outstanding.

The Company shall reserve to at all times so long as the Warrants remain outstandingreserve and keep available, free from of preemptive rights, out contractual preemptive rights, resale rights, rights of its treasury Common Stock or its authorized but unissued shares of Common Stockfirst refusal and similar rights, or both, solely for the purpose of effecting the exercise of the Warrants, a sufficient number of shares of Common Stock in an amount sufficient to provide for satisfy the Company's obligations to issue Warrant Shares upon exercise of the Warrants.
