Common use of Reservation of Warrant Shares Clause in Contracts

Reservation of Warrant Shares. (a) The Company will at all times reserve and keep available for issuance and delivery, free and clear of all liens, security interests, charges and other encumbrances or restrictions on sale and free and clear of all preemptive rights, such number of its authorized but unissued Common Stock or other securities of the Company from time to time issuable upon exercise of the Warrants as will be sufficient to permit the exercise in full of all outstanding Warrants.

Reservation of Warrant Shares. (a) The Company will at all times authorize, reserve and keep available for issuance and deliveryat all times, free and clear of all liens, security interests, charges and other encumbrances or restrictions on sale and free and clear of all from preemptive rights, such a sufficient number of its authorized but unissued Common Stock or Warrant Shares to satisfy the requirements of this Warrant and any other securities of the Company from time to time issuable upon exercise of the Warrants as will be sufficient to permit the exercise in full of all outstanding Warrants.

The Warrant Agent is not required to verify availability of such shares set aside by the Company.
