Common use of Reserve Fund Fees and Expenses Clause in Contracts

Reserve Fund Fees and Expenses. Borrower acknowledges and agrees that it solely shall be, and shall at all times remain, liable to Lender or Servicer for all actual, out- of-pocket fees, charges, costs and expenses in connection with the Reserve Funds, this Agreement and the enforcement hereof, including, without limitation, any monthly or annual fees or charges as may be assessed by Cash Management Bank in connection with maintaining the Reserve Funds and the reasonable fees and expenses of legal counsel to Lender and Servicer as needed to enforce, protect or preserve the rights and remedies of Lender and/or Servicer under this Agreement.

Each of Borrower and Security Guarantor acknowledges and agrees that it solely shall be, and shall at all times remain, liable to Lender Agent or Servicer for all actual, out- of-pocket reasonable and customary fees, charges, costs and expenses in connection with the Reserve Funds, this Agreement and the enforcement hereof, including, without limitation, any monthly or annual fees or charges as may be assessed by Cash Management Bank Agent or Servicer in connection with maintaining the administration of the Reserve Funds and the reasonable fees and expenses of outside legal counsel to Lender Agent and Servicer as needed to enforce, protect or preserve the rights and remedies of Lender Agent and/or Servicer under this Agreement.
