Common use of Reset of Exercise Price Clause in Contracts

Reset of Exercise Price. If, on the seven-month anniversary of the Issuance Date, the Reset Price, as defined below, is less than the Exercise Price at such time, the Exercise Price shall be decreased to the Reset Price. “Reset Price” shall mean the greater of $1.00 and 120% of the last VWAP immediately preceding the seven-month anniversary of the Issuance Date.

Reset of Exercise Price. The Exercise Price shall be subject to the same adjustment as set forth under Section 2(e) of the Class B Warrant Agreement of the Company. If, on the seven-month anniversary of the Issuance Date, the Reset Price, as defined below, is less than the Exercise Price at such time, the Exercise Price shall be decreased to the Reset Price. “"Reset Price” " shall mean the greater of $1.00 and 120% of the last VWAP immediately preceding the seven-month anniversary of the Issuance Date.
