Residual Interest Conveyance. The Borrower will not transfer any interest or residual interest in (i) its rights to receive amounts pursuant to Section 2.08(a)(xii) or (ii) its membership or other equity interests.
Residual Interest Conveyance. The Borrower will not transfer any interest or residual interest herein without the prior written consent of the Administrative Agent, which consent shall not be unreasonably withheld; provided, however that notwithstanding any other provision of this Agreement, nothing herein shall be deemed to be a restriction on the pledge of the equity interests of the Borrower by its corporate parent.
