Common use of Resignation and Removal of Servicer Clause in Contracts

Resignation and Removal of Servicer. (a) Subject to the provisions of Article 7 hereof, Interpool, Inc. shall not resign as the initial Servicer except upon a determination that its duties hereunder are no longer permissible under applicable law. Any such determination shall be evidenced by an opinion of independent counsel, in form and substance satisfactory to the Global Requisite Majority, to such effect delivered to the Indenture Trustee.

Interpool Limited shall not resign as the initial Servicer except upon a determination that the performance of its duties hereunder are no longer permissible under applicable law. Any such determination shall be evidenced by an opinion of independent counselcounsel to such effect, such opinion letter to be in form and substance reasonably satisfactory to the Global Requisite Majority, to such effect delivered to the Indenture TrusteeAgent.
