Common use of Resignation as Director and Officer Clause in Contracts

Resignation as Director and Officer. In the event of any termination or resignation pursuant to Sections 4.1, 4.3, 4.4 or 5, the Employee shall be deemed to have resigned voluntarily as an officer and director of the Company (and of any subsidiaries of the Company) if he was serving in either of such capacities at the time of termination.
