Common use of Resignation as Director and Officer Clause in Contracts

Resignation as Director and Officer. The Executive covenants and agrees that, upon any termination of this Agreement and of his employment, howsoever caused, he shall forthwith tender his resignation from all offices, directorships and trusteeships then held by the Executive at the Corporation or any of the Affiliates, such resignation to be effective upon the Date of Termination, unless the Corporation affirmatively asks him to maintain a directorship or trusteeship.
